Terms of Service

These Terms of Service ("Terms") govern your use of Kool Nova KDS, operated by TelNova Solutions ("Company," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Kool Nova KDS is a kitchen display system software-as-a-service that enables restaurants to display, route, and manage kitchen orders on tablet devices. The Service integrates with third-party point-of-sale systems including Clover to receive order data.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or harmful content
• Resell or sublicense the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service

5. Third-Party Integrations (Clover POS)

The Service integrates with Clover POS and other third-party services. By connecting a third-party account, you authorize us to access and use data from that account as necessary to provide the Service. You represent that you have the right to grant this access. Your use of third-party services is also governed by those services' own terms and privacy policies. We are not responsible for the actions or data practices of third-party services.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You grant us a limited license to use your data solely to provide the Service to you.

7. Intellectual Property

The Service, including its design, code, and content, is owned by TelNova Solutions and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements. You retain ownership of any data you input into the Service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience downtime due to circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELNOVA SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless TelNova Solutions and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it may be permanently deleted.

13. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website and updating the "Last updated" date. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms shall be governed by the laws of the State of Virginia, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Virginia.
